Terms & Conditions

These Terms & Conditions apply to all work carried out by Lightbox Film Co. Ltd unless otherwise agreed in writing.

Payment of this invoice confirms acceptance of these Terms & Conditions. Where a signed Master Service Agreement (MSA) exists between the Client and Lightbox Film Co. Ltd, the MSA shall take precedence.


1. Scope of Work

All work is undertaken in accordance with the approved quotation, proposal or Work Order. Any additional work requested outside the agreed scope will be quoted separately and will only commence following written approval from the Client.


2. Payment Terms

Unless otherwise agreed in writing:

  • A 50% deposit is payable before work commences.
  • The remaining balance is payable within 30 days of the invoice date.
  • Lightbox Film Co. Ltd reserves the right to charge statutory interest and reasonable debt recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  • Ownership and usage rights of the final deliverables remain with Lightbox Film Co. Ltd until all invoices relating to the project have been paid in full.


3. Client Responsibilities

The Client agrees to:

  • provide timely feedback and approvals;
  • supply all required information, assets and branding materials;
  • ensure they hold the necessary permissions and licences for any content they provide.

Delays in providing information or approvals may affect agreed production schedules and delivery dates.


4. Feedback & Project Timescales

Clients are requested to provide feedback within five working days of receiving each edit.

If no communication is received for a period of 45 calendar days, Lightbox Film Co. Ltd reserves the right to close the project and issue an invoice for all work completed and costs incurred to date. Any request to recommence the project will be subject to availability and may incur additional fees.


5. Project Changes

Changes requested outside the agreed project scope, including additional filming, editing, revisions or deliverables, may be treated as a variation to the original agreement and charged accordingly.


6. Cancellation

If a project is cancelled after work has commenced, the Client remains responsible for payment of all work completed and any third-party costs incurred up to the cancellation date.

Filming cancellations may be subject to cancellation charges where crew, locations or suppliers have already been booked.


7. Copyright & Usage

Copyright and all intellectual property rights remain the property of Lightbox Film Co. Ltd until payment has been received in full.

Upon receipt of full payment, the Client is granted a perpetual, non-exclusive licence to use the final approved deliverables for the agreed purpose.

Raw footage, editable project files and production assets are not included unless specifically agreed in writing.


8. File Storage

Project files and final deliverables are retained for up to three months following final delivery.

Long-term archive storage can be arranged by prior agreement and may be subject to an additional charge.


9. Portfolio Use

Unless agreed otherwise before production begins, Lightbox Film Co. Ltd may use completed work, behind-the-scenes photography and the Client’s name and logo within its portfolio, website, social media, award submissions and marketing materials.

Confidential projects will always be respected where agreed in writing.


10. Liability

Lightbox Film Co. Ltd’s total liability arising from any project shall be limited to the total fees paid by the Client in relation to that project.


11. Force Majeure

Neither party shall be liable for delays or failure to perform obligations where such delays result from events beyond their reasonable control.


12. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.
